Terms of Use – Lion Affiliate Network

Lion Affiliate (the “Network”) is an affiliate, performance marketing and lead-generation platform operated by Lion Affiliate (the “Company”). The Network enables publishers, marketers and business partners (“Affiliates”, “Users”) to promote third-party products and services subject to these Terms of Use.

By registering, accessing or using the Network in any manner, you acknowledge that you have read, understood and agreed to be legally bound by these Terms, including any future amendments, policies and guidelines published by the Company.

1. Eligibility and Account Registration

Only one account per natural person or legal entity is permitted.
Providing false, misleading or incomplete information is strictly prohibited.
The Network reserves the right to reject or terminate any registration at its sole discretion.

2. Marketing Methods and Traffic Restrictions

Email marketing, SMS marketing, messaging campaigns or bulk communications are strictly prohibited.
This prohibition applies regardless of opt-in status, consent, permits or local regulations.
Any violation will result in immediate account termination and forfeiture of all earnings.
The Network may retroactively invalidate leads and commissions obtained through prohibited methods.

3. Bonuses, Incentives and Promotional Benefits

From time to time, the Network may offer registration bonuses, performance incentives, referral rewards or other promotional benefits (“Bonuses”).

All Bonuses are subject to changing eligibility criteria determined solely by the Network.
Bonuses may be conditional, pending, delayed, modified or canceled at any time.
No Bonus shall be considered earned, vested or payable until explicitly approved by the Network.
The Network reserves the right to revoke Bonuses retroactively in cases of policy violations.

4. Referral Program

Affiliates may participate in referral programs subject to separate rules defined by the Network. Referral rewards, if any, are conditional, performance-based and may be changed or discontinued without prior notice.

5. Compliance, Fraud and Prohibited Conduct

Fraudulent activity, manipulation, misrepresentation or abuse of advertisers is strictly forbidden.
Impersonation of any person, business or entity is prohibited.
Affiliates may not interfere with tracking systems, attribution models or reporting mechanisms.
Any attempt to bypass the Network or redirect advertisers is considered a material breach.

6. Advertiser Non-Circumvention

Affiliates are prohibited from directly contacting, contracting with or promoting advertisers introduced through the Network for a defined cooling-off period determined by the Network. Violations may result in account termination, forfeiture of earnings and financial liability.

7. Account Suspension and Termination

The Network may suspend or terminate any account immediately, with or without notice, for any violation of these Terms or for conduct deemed harmful to the Network, advertisers or third parties.

Pending, unpaid or future commissions may be canceled.
The Affiliate shall have no right to compensation, indemnity or damages.

8. Payments and Invoicing

Payments are subject to minimum payout thresholds and internal approval processes.
Valid invoices and accurate payment details are mandatory.
The Network may delay, withhold or offset payments due to compliance reviews or disputes.
Taxes, VAT and reporting obligations are the sole responsibility of the Affiliate.

9. Intellectual Property

All software, designs, content, trademarks, tracking systems and materials provided by the Network are the exclusive property of the Company and may not be copied, modified or used outside the scope of these Terms.

10. Limitation of Liability

The Network is provided “as is” without warranties of any kind. The Company shall not be liable for direct, indirect, incidental, consequential or reputational damages arising from the use or inability to use the Network.
